The project was recently launchedafter the Brock research team obtained the required license from Health Canada.
Canbud continues to develop its science based competitive advantages as part of the Corporation’s strategy, positioning itself as a first mover and soon to become leader in sustainable development. Canbud has formed a partnership with Brock University biologist Dr. Michael Bidochka and his research team to investigate the effects of endophytic fungi on hemp plants. The Corporation aimsto develop a game-changing Climate Smart Sustainable Natural Fungi BioFertilizer for crops cultivation which could reduce and replace chemical fertilizer,likewise applicable to hemp plants, therefore supporting sustainable global hemp and food production.
In a ground-breaking study conducted in 2012, Professor Bidochka and his team found that certain fungi, which feast upon over 200 different kinds of soil-borne insects, exhibit the ability to transfer nitrogen from the dead bugs into plants through the plant’s root system. This breakthrough discovery led Professor Bidochka and his team of researchers to take this application a step further. A subsequent study in 2017 found that plants transfer carbohydrates back into the fungus, supplying the fungus with much-needed energy, making the fungus-plant relationship truly symbiotic and self-sustaining.

Canbud Distribution Corporation Continues to Lay Groundwork in Psychedelics Market – Enters into LOI with Molecular Science Corp. for R&D, Testing, and Import
Toronto, Ontario–(Newsfile Corp. – March 15, 2021) – Canbud Distribution Corporation (CSE: CBDX) (FSE: CD0) (“Canbud” or the “Corporation“) is pleased to announce an LOI with Molecular Science Corp. (MSC), a privately-held Toronto-based Licensed Dealer. MSC is in the process of obtaining approval from Health Canada for testing of controlled substances, including psychedelic compounds, in addition to its current Analytical Testing Licence for Cannabis and Drug Establishment Licence (DEL).
This is a crucial step in Canbud’s strategy to commercialize its psychedelics operations in Jamaica, as it provides access to key technical skills required to differentiate and create a niche market for Canbud’s products targeted at companies involved in R&D. Additionally, it enables the Corporation to further accelerate the process of monetizing the Federal Sale for Medical Purposes Licence where formulations can be developed to target specific medical patient needs given MSC’s existing competency in R&D and testing.
Under the terms, once MSC obtains its Health Canada approval which is expected shortly, the Corporation and MSC will work together to enable Canbud to import psychedelics into Canada for testing and R&D purposes.

CanBud Distribution Corporation Closes 2.6M First Tranche of its Previously Announced 3.5M Private Placement Offering
CanBud Distribution Corporation (CSE: CBDX) (FSE: CD0) (“CanBud” or the “Corporation“) is pleased to announce that it has closed the first tranche of its previously announced non-brokered private placement for gross proceeds of approximately $2,639,080 (the “Offering“). The second and final tranche of the Offering is expected to close on March 2, 2021.
The Corporation issued 21,992,333 Units at price of $0.12 per Unit, with each Unit comprised of one common share in the capital of the Corporation (each a “Common Share“) and one common share purchase warrant (each a “Warrant“). Each Warrant entitles the holder to purchase one additional Common Share at an exercise price of $0.22 within 24 months of the closing of the Offering (the “Warrant Term“), provided, however that if the closing price of the Common Shares on the Canadian Securities Exchange (the “CSE“) (or any such other stock exchange in Canada as the Common Shares may trade at the applicable time) is $0.25 or greater per Common Share for a period of five (5) consecutive trading days at any time after the closing date of the Offering, the Corporation may accelerate the Warrant Term such that the Warrants shall expire on the date which is 30 days following the date a press release is issued by the Corporation announcing the reduced warrant terms.
Finder’s fees in the aggregate amount of $84,470.39 in cash and 703,920 broker warrants (the “Broker Warrants“) were paid to a syndicate of arm’s-length finders, with the exception of $53,594.80 and 446,623 Broker Warrants paid to Florence Wealth Management Inc. (“Florence“). Raj Ravindran, CFO and Director of the Corporation, is the ultimate designated person and CEO of Florence. The Broker Warrants were issued on the same terms as the Warrants.
The proceeds raised from the Offering will be used by the Corporation for working capital, business development and general corporate purposes.
All securities issued in connection with the Offering will be subject to a statutory hold period expiring four months and one day after closing. Completion of the Offering is subject to a number of conditions, including, without limitation, receipt of all regulatory approvals, including approval of the CSE.
None of the securities issued in the Offering will be registered under the United States Securities Act of 1933, as amended (the “1933 Act“), and none of them may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the 1933 Act. Pursuant to our news release of December 7, 2020, Canbud Distribution Corp. (CSE: CBDX) (FSE: CD0) ( “Canbud”) is pleased to confirm commencement of psychedelics related activity in Jamaica.
The company is pleased to announce that the property is being prepared for Phase 1 in Westmoreland parish, Jamaica. Construction has started on the psilocybin facility which will allow for cultivation and extraction. The plan is to build modular facilities that enable cultivation of psychedelic mushrooms and extraction in the most cost-efficient manner.
Psilocybin is a naturally occurring psychedelic prodrug compound produced by more than 200 species of fungus. As a prodrug, psilocybin is quickly converted by the body to psilocin, which has mind-altering effects. Psilocybin is considered to have extremely low toxicity and a favourable safety profile. As a result, considerable research, development and testing is taking place to enable targeted usage for individuals suffering from anxiety, depression, and PTSD.
