Relevium Technologies Inc. (TSX VENTURE:RLV)(FRANKFURT:6BX) in conjunction with Maestro Capital Inc. (TSX.P – “MCP”) is pleased to announce that the two parties have agreed to the terms of participation by Maestro in a non-brokered private placement offering (the “Private Placement”).
Pursuant to the agreed terms, Maestro will subscribe by way of subscription agreement for a minimum of 1,500,000 units (the “Units”) of Relevium at a per Unit price of $0.10 for gross proceeds of $150,000. Each unit will consist of one common share in the capital of Relevium (a “Relevium Share”) and one common share purchase warrant, each whole warrant (a “Warrant”) will entitle Maestro to purchase one common share in the capital of Relevium at a per share price of $0.15 for a period of 36 months from the date of closing of the Private Placement.
Completion of the proposed Transaction is subject to a number of conditions, including but not limited to, execution by the parties of a form of subscription agreement for the Private Placement, the receipt of all requisite corporate and regulatory approvals, shareholder and TSX approval. The Exchange’s acceptance of the Transaction will be conditional, among other things, on Maestro filing with the Exchange all documents in compliance with Exchange CPC Policy requirements. The proposed Transaction cannot close until the required approvals are obtained. There can be no assurance that the Transaction will be completed as proposed or at all.
Relevium also announced its intention to extend the private placement for a minimum of 5,000,000 Units and a maximum of 10,000,000 under the same terms, which may close in one or more tranches, for total gross proceeds of between $500,000 and $1,000,000. All securities issued by Relevium in connection with the Private Placement will be subject to a statutory hold period of four months plus one day from the date of issuance of the securities in accordance with applicable securities legislation.

Relevium also announced its intention to extend the expiry date of the 10,015,466 share purchase warrants issued pursuant to the August 2015 private placement closed concurrently with the completion of its Qualifying Transaction as Ovid Capital. The expiry term of the share purchase warrants will be extended for an additional term of two years and will now expiry on August 18, 2018. The extension of the warrants is subject to the regulatory approval by the TSX.

International Wastewater Systems Inc. (“IWS” or the “Company”) (CSE:IWS)(FRANKFURT:IWI) is pleased to announce that the Company has completed the in-house design of the newest and largest SHARC wastewater heat exchange system, the model 880 (“SHARC 880”). The SHARC 880 offers the highest capacity of any SHARC system designed and built by IWS to date.
The SHARC 880 handles a flow rate of up to 1500 gallons per minute (“GPM”), a capacity increase of three-times when compared to existing SHARC models with flow rates of 100 GPM to 500 GPM. In-house testing is now underway and will be completed in the next 90 days. Following completion of the design and test phase, production will be completed at IWS headquarters near Vancouver. The unit is scheduled to be installed and tested at a wastewater heat exchange project within a District Heating Network (“DHN”) in Vancouver. The DHN currently serves 4.3 million square feet (approximately 400,000 square meters) of residential, commercial, and institutional space with plans for future expansion.
The SHARC 880 was built in response to demand from prospective clients seeking a system with increased capacity. In particular, ongoing requests from various District Heating Networks confirm that wastewater heat exchange equipment for large and utility-scale projects is a growing market for IWS.

International Wastewater Systems’ order book hits $80 million for energy-saving technology
Have you ever thought about the wasted energy that literally goes down the drain every time you use warm/hot water? Well Lynn Mueller has. And now his recently public company, International Wastewater Systems Ltd. (CNSX:IWS) has in the neighbourhood of $80 million in orders from customers around the world for his innovative energy saving technology.
Mueller was previously a farmer who also ran one of the world’s leading manufacturers of thermal heat pumps called Water Furnace. As a result of the experience of moving heat from A to B, he conceived of and invented the two models of thermal heat capture systems that are the company’s products.
The Sharc and the Pirranah systems capture heat energy in sewage and wastewater and return it to any building’s hot water systems for significant savings. How significant?
According to Mueller, “we recover the energy at an efficiency of about 400 to 500 per cent, so for every dollar it costs to run a Shark or a Piranha unit, we recover $4 to $5 worth of energy, and it’s just in the same form.”
IWS’s systems are currently installed and running in everything from a University of British Columbia residential building to a Camden, N.J., wastewater treatment plant. Additional industrial-scale installations are planned for the city of Fier, Albania, and the Australian Wool Testing Authority. The largest Sharc installation is at Borders College in Scotland, serving a student population of 4,500.
The Fier installation will capture heat from the city’s sewage treatment facility and redistribute it to homes throughout the city in a model the company refers to as “district heating.” The plant will extract heat energy from an estimated 30 million litres of sewage per day. Albania currently loses an estimated 160 – 200 million euros per year on its energy program according to World Bank figures, so the motivation to expedite the project is somewhat acute.
That project represents a novel and lucrative business model for IWS with a recurring revenue source. In both Albania and the United Kingdom, subsidies and investment by government are expected to substantially improve the economic viability of installing Sharc systems in institutional and commercial buildings.
The installation at Borders College, for example, was financed with a 4-million pound investment from Equitix and the U.K. Green Investment Bank, an entity created by the U.K. government. The mandate of the U.K. Green Investment Bank is to spearhead the investment of 330 billion euros into the “greening” of the U.K. economy by 2020. Their stated focus is primarily on energy efficiency, waste and bio energy. With the Scottish project, other municipalities throughout the U.K. will have a running demonstration site to enhance understanding of the process.
The Camden, N.J., project was almost completely financed by a clean energy grant, leaving the county to come up with only US$100,000 of the US$1.1-million cost.
International Wastewater Systems constitutes an early development stage opportunity for investors seeking exposure to the developed world’s push to improve energy efficiency wherever possible.

Even CNN deemed the company newsworthy, and published coverage of IWS on the network’s financial channel at CNNMoney.com on May 24. “We quickly went from being a local, small company to a worldwide operation. We’ve seen markets around the world demanding the product,” Mueller told CNN reporter Jackie Wattles.
The company anticipates raising capital soon to finance production of more Sharc and Piranha systems to fulfill its backlog of orders.

Mr. Mueller believes that the most pressing global challenge of our generation is the need for everyone on the planet to reduce the energy wastage and minimize carbon output. IWS has responded to the need by developing easy to use technology that recovers heat from waste water.
IWS has been able to form alliances with some of the world’s leading water companies as a result of the quality of its products and ease of the application of its technology. The company has recently updated its pipeline of projects, including the upcoming installation of a SHARC wastewater heat recovery system at a facility operated by the Australian Wool Testing Authority in Melbourne, Australia.
IWS continues to work in close collaboration with some of the world’s major water utility companies in North America and Europe, many of whom are interested in supporting the deployment of IWS technology across their waste water infrastructure. IWS and Fier have agreed to collaborate on a strategic plan to develop District Energy Networks utilizing IWS’s SHARC wastewater heat exchange system along with the integration of sewage treatment capabilities. The collaboration is a result of recent meetings in Albania between IWS CEO Mr. Lynn Mueller and The Honorable Mr. Armando Subashi, Mayor of Fier.
The district of Fier is located in south east Albania, home to approximately 200,000 people of which 100,000 live in the city of Fier. Fier is the centre of the oil & gas and chemical industries in Albania, a region that includes the nearby Patos-Marinza oilfield, the largest on shore oilfield in Europe which is operated by Canadian company Bankers Petroleum Ltd.
Albania’s dependence on hydropower generation and its vulnerability to weather patterns make energy supply and distribution a key challenge for the country. The early adoption of renewable energy technologies has been promoted via funding from IFC (International Finance Corporation, a member of the World Bank) and EBRD (European Bank for Reconstruction and Development). The EBRD and IFC programs seek to develop the market for renewable energy in Albania as a means to diversify the energy supply, develop green industries and support the country’s path towards the European Union.
Albania’s energy sector is currently suffering annual losses estimated at EUR160-200 million (World Bank estimates) creating an urgent need for energy efficiency improvements. The city of Fier and IWS seek to implement energy efficient technologies that serve the region’s energy needs, while creating a new industry centred in Fier that serves as a catalyst for economic and technological advancement for the entire region.
IWS intends to install District Energy Networks around the city that include treatment plants capable of treating 30 million litres of sewage per day. IWS technology will recycle the waste heat to provide a green, low cost heating and cooling supply for the city of Fier. Currently this sewage flows untreated through the local river system and into the sea.
IWS is partnering with the City of Fier to transform the city into a world leading example for sustainable energy infrastructure that generates green, low cost energy while providing ongoing social and economic benefits to the historic city of Fier. The pipeline of projects continues to grow in the UK, Canada and the USA, and with the recent announcement that a SHARC wastewater heat recovery system (“SHARC”) is to be installed at a facility operated by the Australian Wool Testing Authority (“AWTA”) in Melbourne, IWS now has a strategic presence on three continents.
IWS has been working closely with some of the world’s major water utility companies in North America & Europe, many of whom have expressed interest in supporting the deployment of IWS technology across their waste water infrastructure and to contribute to the international carbon reduction programme enshrined at the 2015 United Nations Convention on Climate Change in Paris (COP21).

With 32,000 miles of sewer pipes throughout Scotland, we’re exploring the potential for this approach to be replicated at other locations, offering further environmental and heating cost benefits.
This initiative builds on our work to use Scotland’s water resources to help generate renewable energy, through the likes of hydro power schemes, helping to reduce costs and build an increasingly sustainable Scotland.”
