Biocannabix

In order to gain access to the cannabis for medical purposes market and obtain the necessary licenses from Health Canada, including the ACMPR license, the Company has begun the process of evaluating locations in Quebec that could accommodate the operation. The Company has studied industry peers and believes that with the amount of data available it will be able to act swiftly and in a very cost-effective manner.
LeefyLyfe
Relevium will be building LeefyLyfe® as an elevated and trusted brand for the health-conscious consumer outside of Canada, with a focus on full spectrum hemp, CBD and CBG formulations aimed for lifestyle, health and wellness. The product offering targetsapplications ranging from pain relief and anti-inflammation to anxiety and sports performance. The Company has secured http://leefylyfe.com/ as the domain for the brand.
Relevium has already shortlisted production partners that would be able to meet stringent legal and compliance guidelines. All products being contemplated for the LeefyLyfe® brand will be derived from American grown, organic and non-genetically modified hemp.
The Company projects sales for LeefyLyfe® to commence in Summer in full compliance with rules, regulations and laws at the State and Federal levels.
Building a Brand Portfolio
In full alignment with the company’s business strategy, management is engaged in a process to secure branding licensing agreements and endorsement opportunities tailored for different consumer segments in this market. As opportunities arise, they will be subject to focus group and SWOT analysis in order to evaluate a proper risk/reward for the Company. The Company anticipates having a high-end premium or luxury brand offering in the spring or summer depending on a variety of factors.

As a Canadian company, Relevium will initially target the legal cannabinoids markets in North-America and develop medical, lifestyle and luxury consumer products aimed at supporting overall health and wellness. The Company’s newly created subsidiary is expected to begin the process of obtaining access to cannabis for medical purposes through the filing of an application for the appropriate licences from Health Canada pursuant to the Access to Cannabis for Medical Purposes Regulations (ACMPR). The primary purpose of the application will be to enable the Company, through Biocannabix, to secure the appropriate legal authorizations to be able to distribute and sell medical cannabis products in Canada and service other jurisdictions in the export market.

According to a report from Ameri Research Inc., the global legal cannabis market was valued at $14.3 billion in 2016 and is expected to reach $63.5 billion in 2024, growing at a compound annual growth rate of 21.1 percent during the forecast years. North America accounts for over 49% of the market, with the U.S. being the single largest market.
A Major segment of the legal cannabis industry is the hemp-derived cannabidiol (CBD) market. According to a report by Forbes, Brightfield Group projects that Hemp-derived cannabidiol (CBD) will be a billion-dollar market in just three years. CBD products do not have any psychotropic effects and are usually used for medical purposes. Brightfield’s data estimates that hemp CBD sales have already hit $170 million in 2016 and at a 55% compound annual growth rate over the next five years the market will cross the billion-dollar mark. According to Statista, it is estimated that in the year 2020 CBD consumer sales will total around 1.15 billion U.S. dollars. Brightfield determined that 64.5% of the sales come through the online channel followed by 17.8% from physical points of sale.

Tetra Bio-Pharma Initiates Enrolment of Patients in Phase 3 PPP001 Smokable Cannabis Pellet Study

Tetra Bio-Pharma Inc. (“Tetra” or the “Company”) (TSX VENTURE:TBP) (OTCQB:TBPMF), today announced the initiation of screening and enrolment activities in the Phase 3 study of its PPP001 smokable cannabis pellet for advanced cancer patients with uncontrolled pain.
Tetra authorized the initiation of the patient enrolment activities at its main clinical site, Santé Cannabis, a private medical cannabis clinic in Montreal which is in compliance with Health Canada Division 5 regulations and the International Conference on Harmonization (ICH) Good Clinical Practices (GCP) (E6) R2.
PPP001 aims to be the first smokable cannabis for advanced cancer pain available under prescription. It is a dried cannabis pellet designed to be smoked in an inhalation device specifically developed for this product. PPP001 is a unique blend of 3 strains of standardized dried cannabis, creating a drug substance with 9.5% THC and 2.5% CBD.
“This is a significant milestone in the lead product of our strong pipeline of cannabinoid-based drugs targeting patients with advanced pain,” said Guy Chamberland, Tetra’s CEO and CSO. “The launch of the Phase 3 clinical trial will be used to support the marketing application of PPP001 smokable pellet that is followed by four other cannabinoid-based products that we are developing using different delivery systems such as oral tablets, eye drops, topical ointments and oral capsules of cannabis oil.”
On February 28th, 2018, Santé Cannabis received authorization from the Office of Controlled Substances to use PPP001 (controlled substance) for the Phase 3 clinical trial. This authorization granted the Principal Investigator of the Phase 3 trial, Dr. Antonio Vigano, exemption from the application of several provisions of the Controlled Drugs and Substances Act and the Narcotic Control Regulations thereby allowing the investigator to proceed with the clinical study of PPP001 in advanced cancer patients. In addition, the exemption allows Santé Cannabis to store and dispense the study medication directly to the patients, a process not permitted by Licensed Producers under the ACMPR.
“We are performing the first large study of the safety and efficacy of a dried cannabis smoked drug in advanced cancer patients,” added Guy Chamberland. “Over the next month Tetra will expand the trial by working with other clinics across Canada. Most importantly, we believe this multisite study has the potential to change the current vision of the use of smoked cannabis as an effective palliative care therapy of patients with advanced cancer.”

AREV Nutrition Sciences Inc. Announces a Reverse Takeover Transaction with we Grow BC Ltd.

AREV Nutrition Sciences Inc. (” AREV ” or the “Company”) ( CSE – AREV ), is pleased to announce a binding agreement (the “Acquisition Agreement”) to acquire 100% of the issued and outstanding shares of We Grow BC Ltd. (“WGBC”).
WGBC is a private company strategically located in Creston British Columbia in the heart of the Kootenay’s, where BC grown marijuana originated, and holds a Cultivation License pursuant to the Access to Cannabis for Medical Purposes Regulations under Health Canada. The Company has scalable production facilities currently consisting of 100 acres of land with 100,000 square feet of indoor space of which 24,000 has been retrofitted for Phase 1 Cultivation.
The Acquisition Agreement provides for each shareholder of WGBC to receive 90,909 shares of AREV in exchange for each share of WGBC based on a $50,000,000 valuation of WGBC. It is anticipated a total of 100,000,000 AREV shares will be issued at a deemed price of $0.50 per AREV Share pursuant to the agreement.
AREV’s intention is to enter into an amalgamation by plan of arrangement where the amalgamation shall take place between a wholly owned subsidiary of AREV and WGBC.
AREV intends to call a Special Annual General meeting in order to approve the transaction and to affix its board of directors to 7 members of which 4 will be designated by WGBC.
The deemed aggregate value of $50,000,000 ($50 million) attributable to such 100,000,000 AREV shares shall be supported by a valuation of WGBC. Also, it is understood that the AREV shares to be issued by AREV to the WGBC Shareholders may be subject to certain resale restrictions including escrow requirements under applicable securities law and policies of the Canadian Securities Exchange (the “CSE”). ;
Both companies will have 5 business days from the date of execution of the Acquisition Agreement to provide the other party complete and commercially reasonable requests for due diligence.
The proposed acquisition of WGBC constitutes a fundamental change under the policies of the “CSE”. and shall be subject to shareholder and CSE approval. Accordingly, trading of AREV shares has been halted pending acceptance of the Acquisition Agreement by the CSE and the acceptance and posting of regulatory filings in connection with the Acquisition Agreement under the Company’s CSE profile.
“We believe this to be the perfect synergy between both companies, with AREV having the extraction technology and finished products and We Grow’s current 24,000 square feet grow facility and up to 100 acre cultivation abilities in the Kootenays,” stated Mike Withrow, AREV Chairman.
Further to the Company’s news release of October 31, 2017, the Company announces that it will not be proceeding with the letter of intent to acquire Verified Plant Genetics and a certain property in Parksville, British Columbia. The Company will revisit this transaction in the future.
