To our valued Shareholders,
Over the last several weeks, Sirona Biochem’s management has been monitoring the recent increase in cases of Coronavirus (COVID-19), as we are sure many of you have. As an international organization, operating on three continents, Sirona has been one of the many companies affected by recent events. I want to assure you that we’re taking all necessary steps to advance our projects while minimizing delays and remaining a responsible corporate citizen. While all projects are moving forward, there have been some unavoidable delays and necessary rescheduling.
The health and safety of our employees and consultants is our paramount concern. During these uncertain times, this simple fact has been at the heart of all our discussions. To that end, we have taken numerous proactive measures to address the situation at hand, including:
- We have implemented a work from home policy for our employees and consultants (outside of our lab) to ensure we minimize the opportunity for spreading the virus. Historically we have operated virtually for much of our work and this transition has required minimal effort and has resulted in no loss of productivity.
- We have delayed travel. Fortunately, our strong established relationships with our current partners has allowed this step to limit the impact on moving our projects forward. We will restore travel as soon as it is deemed appropriate, including travel to China.
- We have not been required to suspend operations at the lab as part of a 15-day country wide lockdown in France. We will continue to cooperate with all government measures in the country’s in which we operate.
We will not achieve all our goals for this quarter as originally planned, but we still anticipate meeting all goals near term. Sirona has completed preparation for the increased dose (0.4%) clinical study for its skin lightening compound TFC-1067. Starting this clinical trial is the objective most delayed since obtaining formulation supplies from China were delayed pushing the potential trial into summer months. We are currently communicating with a global company (that plans to participate in this trial) to determine an ideal start date. Their participation in the trial is a tremendous added value to Sirona.
Other exciting news is anticipated regarding TFC-039 as stated in our last update. Extensive progress has been made and an announcement is anticipated. We are fortunate to have ample working capital to achieve our goals and are in no need to contemplate any dilutive capital raise. In fact, we are considering an expansion in the lab team to bring added resources to accelerate an exciting new project. Further details of this project and other projects will be forthcoming as we integrate our partners into a unified plan.

Sirona Biochem Reports 100% Safety in First Tox Study for Increased Concentration of TFC-1067

Sirona Biochem Corp. (TSX-V: SBM) (FSE: ZSB) (US-OTC: SRBCF) (“Sirona“) announces that the first toxicology test, in preparation for the new clinical study, has been completed with positive results.
In anticipation of a clinical study in Q2 of 2020, Sirona has completed the first required toxicity study for the increased dose (0.4%) of TFC-1067. The new formulation has been tested with a “cutaneous compatibility assessment” at Cosmepar in France (https://www.cosmepar.fr/en/), which is a patch on 12 subjects for a period of 48 hrs. The test is used to determine whether the formulation is an irritant to skin. TFC-1067 .4% was found to be a non-irritant in 100% of subjects in the patch test.
In a similar study1 (published in the Annals of Dermatology 2017), 20 volunteers were patch-tested with varying levels of hydroquinone (HQ) alone and in combination with retinoic acid (RA). This combination is used in some skin lighteners to enhance the efficacy. Results of the study showed that HQ alone at 2% was an irritant in 30% of participants and up to 70% of participants at 4%. 4% is a dose often used in prescription level formulations, such as Tri-Luma2, for melasma. In the same study, HQ combined with retinoic acid was an irritant in as many as 75% of subjects with some developing edema (inflammatory swelling of the skin). Post inflammatory responses to HQ can result in permanent discoloration to the skin.
Sirona is currently carrying out a second required tox study for TFC-1067. This study is a human repeat insult patch test (HRIPT). The HRIPT study will be 3 consecutive weeks with volunteers having repeat doses administered on a patch. Results of this study will be available early Q1 2020. Following the HRIPT, a toxicologist will examine the results for approval of the next clinical efficacy trial. Arrangements are now being made in preparation for the planned clinical trial to follow directly after the approval. We remain on target for this expedited process.

At .2% TFC-1067 was equal to HQ 2% for lightening and better than 2% hydroquinone for creating an even skin tone and we anticipate that our new dose will be more effective and quicker acting,” said Dr. Howard Verrico, CEO of Sirona Biochem. “We will not compromise on the safety of TFC-1067 as we continue to explore its full potential both in benefit to the consumer and commercial opportunity to our Sirona shareholders. It cannot be stressed enough that there is a significant unmet need for a safe alternative for people wishing to manage dark spots and create more uniform skin. There are many potentially toxic formulations available on the market that will ultimately damage the skin. Sirona Biochem will continue to strive for products that people can trust.”
The planned clinical trial is anticipated to be a value-add for the compound. Current licenses and ongoing product development by partners for TFC-1067 will not be delayed by the studies.

Sirona Biochem Proceeds to First Clinical Tests for Higher Concentrations to Increase Commercial Value of Skin Lightening Compound TFC-1067

Sirona Biochem Corp. (TSX-V: SBM) (FSE: ZSB) (US-OTC: SRBCF) (“Sirona“) is pleased to announce that testing of the higher concentration formulation of TFC-1067, first announced in June 2019, will proceed to Human Patch Test, followed by a Human Repeat Insult Patch Test (HRIPT).
Sirona’s scientific team at TFChem and the Senior Toxicologist at CEHTRA (www.cehtra.com) have reviewed recent in-vitro safety assays and verified that the compound can be tested at double the prior concentration. This concentration was chosen as we aim to achieve maximum efficacy while maintaining TFC-1067’s excellent safety profile.
The Human Patch Test for cutaneous irritation will be conducted under physician supervision at Cosmepar (www.cosmepar.fr/en/) in France. Cosmepar’s specialized services include evaluating the tolerance of cosmetic products. The results from this test are expected within 4 weeks.
In addition, a Human Repeat Insult Patch Test (“HRIPT”) will be conducted to determine any potential irritation or sensitization issues. The HRIPT will be performed on one hundred volunteers selected by Dermscan (www.dermscan.com/en/). Results are expected in January 2020.
The higher concentration is being used in Sirona’s next generation formulation developed specifically to maximize the efficacy of TFC-1067. The formulation was developed by cosmetic expert, Gael Boutry of Global Beauty Consulting in France (www.globalbeautyconsulting.com/).

The in-vitro testing has allowed us to safely double the concentration, but the in-vitro tests have their own limitations so anything over double has been deferred at this time. Mr. Pinqiao Zhao is a university-trained chemist who has extensive experience with fluorination chemistry and manufacturing. He studied applied chemistry at Wuhan University and Safety Engineering at Southwest University of Science and Technology. Mr. Zhao has participated in multiple publications and is an accomplished innovator in chemical manufacturing. His education and work experience give him the necessary skill set to assist Sirona in establishing manufacturing in China.

Most consumers desire lightening of dark spots to blend into surrounding skin. TFC-1067 achieved this goal, while the 2% hydroquinone comparator did not. Further data analysis also showed a trend that TFC-1067’s ability to blend spots into the surrounding skin would increase over time beyond the 12 weeks of the trial. The Company is currently working on a submission of these results for a peer-reviewed scientific journal.
The commercial value of TFC-1067 has been confirmed by the agreement with Rodan+ Fields. Sirona Biochem Signs Binding Term Sheet with Cosmetic Distributor in China

Sirona Biochem Corp. (TSX-V: SBM) (FSE: ZSB) (US-OTC: SRBCF) (“Sirona“) announces that it has completed a binding term sheet with Tinyi Trading Company (“Tinyi”) for the distribution of its skin lightener TFC-1067 following strong commercial interest after clinical trial results. Tinyi will have distribution rights within Asia as well as exclusive rights for China.
Tinyi, founded in 2006, is a well-established cosmetic ingredient distributor headquartered in Guangzhou, the cosmetic valley in China. Tinyi has extensive experience operating in the cosmetic market and relationships with numerous key cosmetic companies. These relationships are necessary to capitalize on the enormous opportunity to commercialize TFC-1067 within Asia. Tinyi will also assist Sirona in navigating the regulatory requirements and all necessary steps towards commercialization, including formulation and marketing. Sirona will remain responsible for the manufacture of TFC-1067. Finalizing the cost of local manufacturing will provide necessary information to complete the definitive agreement with Tinyi which is anticipated to be completed in Q1/2020.
Tinyi was responsible for the clinical testing of TFC-1067 completed by a select group of its key cosmetic customers. The formulation used in the studies was the same as that used in Sirona’s first clinical trial in the USA by Dr. Zoe Draelos. The clinical trial design protocols and testing was conducted independently of Sirona by the cosmetic companies in Guangzhou, China.
A total of 60 participants were involved in the studies conducted over several sites. All participants applied the formulation with TFC-1067 twice daily for 4 weeks. At the completion of the 4-week study, 90% of participants reported a brightening effect. A second set of trials with Sirona’s improved formulation was also done which further demonstrated positive results and created a growing interest in using TFC-1067 in product lines.
TFC-1067 is a clinically proven safe and effective treatment to lighten areas of skin with increased pigmentation called dyschromia. The global skin lightening market is estimated to grow to US$31.2 billion by 20241. Asia makes up the largest and fastest growing segment of the market. A World Health Organization survey reported that nearly 40% of women polled in China said they regularly use whitening products, many of which are toxic2.

Since 2015, Cosmetic 360 has become an exclusive international event that allows the most influential cosmetic companies and industry decision makers to access the latest advancements in science.
Dr. Deliencourt-Godefroy will be joined by lab colleague Dr. Jocelyne Legoedec as well as Ms. Michelle Seltenrich, Vice President Operations, to present the most recent advancements of Sirona’s novel skin lightener, TFC-1067. Additional detailed clinical results will be available, and the team will have the opportunity to meet one-on-one with international skincare companies and explore potential collaborations for this innovative compound. Sirona Biochem Signs Definitive License & Supply Agreement with Skincare Industry Leader Rodan + Fields

Sirona Biochem Corp. (TSX-V: SBM) (FSE: ZSB) (US-OTC: SRBCF) (“Sirona“) is excited to announce that it has completed a definitive agreement with Rodan + Fields, LLC (“Rodan + Fields”), the leading skin care brand in the United States1, for the licensing and commercial sales of novel ingredient TFC-1067 to brighten and even skin tone. Rodan and Fields will be the first to market for a consumer product utilizing TFC-1067 in certain countries including United States.
Under the terms of the agreement, Sirona will receive an upfront and milestone payments as well as on-going revenue in return for the manufacture and supply of TFC-1067, a novel, new skin brightening ingredient, for use by Rodan + Fields on a non-exclusive basis and Rodan + Fields will launch a new product incorporating the ingredient. Further details of this agreement will remain confidential for strategic reasons. Both Sirona and Rodan + Fields look forward to a mutually beneficial long-term relationship.
“Sirona’s board concluded that working on a non-exclusive basis will enable us to advance, in parallel, on multiple global partnerships. We are therefore continuing active partnering discussions regarding TFC-1067. Ultimately, we will achieve maximum commercial value by penetrating the numerous sales channels and territories available. The agreement also establishes regular meetings between Sirona’s and Rodan + Field’s scientists to explore future collaborations on new consumer products. This brings together the full spectrum of expertise to take early stage concept through to an innovative formulated product worthy of the Rodan + Fields skin care philosophy.
Contract Research Organization (CRO) Roowin (www.roowin.com) has developed a chemical process required for large scale manufacturing of TFC-1067 and has now been instructed by Sirona to begin manufacturing to fill anticipated orders for the product launch.

Sirona Biochem Adopts Shareholder Rights Plan

Sirona Biochem Corp. (TSX-V: SBM) (FSE: ZSB) (“Sirona“) is pleased to announce that its board of directors has approved the adoption of a shareholder rights plan (the “Rights Plan”). The Rights Plan is subject to acceptance by the TSX Venture Exchange (“TSXV”) and ratification by Sirona’s shareholders within six months. If the shareholders do not ratify the Rights Plan at the AGM, the Rights Plan and all the rights outstanding at the time will terminate.
The Rights Plan, also commonly referred to as a poison pill, is designed to ensure that, in the context of a bid for control of the Company through an acquisition of shares, all shareholders have an equal opportunity to participate in, and adequate time to assess, the bid. The Rights Plan is not intended to prevent take-over bids that treat shareholders equally and offer fair value. The Rights Plan expressly permits certain take-over bids, referred to as “permitted bids”, that meet basic requirements intended to protect the interests of shareholders.
Under the terms of the Rights Plan, one right (a “Right”) will be issued by the Company for each outstanding share. The Rights become exercisable only if a person acquires 20% or more of the shares of the Company without complying with the “permitted bid” provisions of the Rights Plan or without the approval of the Company’s board of directors. Once exercisable, the Rights entitle holders (other than such acquiring person, its affiliates, associates and joint actors) to purchase shares of the Company at a substantial discount to the prevailing market price at the time that the Rights become exercisable.
The Rights Plan was not adopted in response to any specific take-over bid for the Company that has been made or that the Company is aware of. The Rights Plan is similar to plans adopted by other Canadian companies. The Rights Plan also addresses concerns that a person may acquire control of Sirona through market purchases of shares, known as a “creeping bid”, without paying fair value for a control position or sharing a control premium equally among all shareholders.
A copy of the Rights Plan will be filed on SEDAR at www.sedar.com following the approval of shareholders and the acceptance by the TSXV.

Sirona Biochem Announces Successful Close of Oversubscribed Private Placement

Sirona Biochem Corp. (TSX-V: SBM) (Frankfurt: ZSB) (“Sirona“) is very pleased to announce today that it closed its private placement (Private Placement”) as oversubscribed for gross proceeds of $1,500,000 CAD. The Private Placement consists of 3,750,000 units, (the “Units”) at a price of $0.40 per Unit. Each Unit consists of one common share and one transferable share purchase warrant, each whole warrant exercisable into one additional common share of the Company for a period of 3 years from the date of issue at a price of $0.60 per share subject to an acceleration clause.
All securities issued under the Private Placement are subject to statutory hold periods expiring on November 10, 2019.
Proceeds will be used to establish Asia-based manufacturing for TFC-1067 as well as to accelerate Sirona’s anti-ageing and anti-wrinkle projects.
No insiders participated in the Private Placement.
No finders’ fees were paid from the Private Placement.
